General Conditions of Sale to Professionals

These General Terms and Conditions of Sale (hereafter referred to as “the Terms”) apply between Alpes (hereafter, “We”) and any professional customer who places an order on the Site, either directly or by telephone, through our Customer Service Department (hereafter, “You”).
The Conditions may be changed at any time, with the understanding that the applicable Conditions are those in effect on the date of the order.
By checking the “I accept the Terms and Conditions of Sale” box when confirming your order on the Site or by proceeding with the relevant payment after receiving a confirmation e-mail for orders placed by telephone on the Site, you acknowledge that you have read and accept without reservation the Terms and the enclosed Privacy Policy. No special terms or conditions of purchase, whether verbal or written, appearing in any medium whatsoever, shall prevail over the Terms unless we formally accept them in advance in writing. Our failure to enforce, at any given time, any of the provisions of the Terms shall not be construed as a waiver by us of our right to later enforce any such provisions.
1. Order
1.1 Your Account
When placing your order, you will be required to open a user account on the Site, entering certain information regarding both the entity on whose behalf you are purchasing the Products and your identity. For orders placed by telephone, we will proceed to open your account in the manner provided on the Site and in accordance with your instructions.
You acknowledge that the Site is for professionals only and represent that you are acting for the purposes of your professional activities or those of the entity on whose behalf you are placing the order.
Once you have opened your account, you can access “My Account” from the Home page of the Site at any time to check its status, review your order history, or update the information you have provided.
1.2. Conclusion of the sales contract
Once your order has been validated, you will receive a confirmation by e-mail, summarizing the main elements of your order (quantity, packaging, contents, delivery deadline, amount and shipping address) and, if you have chosen to settle your order by bank transfer, the data required to proceed to payment. If you have any questions, you may consult the “Online Help” section of the Site or contact our Customer Service Department at the telephone number listed in the preamble to the Terms and called up in the confirmation e-mail.
1.3. Follow-up of your order
You can access your account at any time from the “My Account” section of the Site’s Home page to check its status, view your order history, or update your personal information.
You will also be informed about the progress of your order by e-mail.
1.4. Change or cancellation of order
If your order is being prepared, we will be able to change or cancel your order at no additional charge.
2. Products
At the time of placing your order on the Site, we will make every effort to provide you with useful information on the availability of the various packages in real time. In case of unavailability of the desired Products after placing your order, we will inform you as soon as possible by phone or e-mail and propose an alternative solution. If this proposal does not satisfy You, Your order will be cancelled.
To ensure their quality, our Products should be stored at a temperature between 5° and 22°C, unless otherwise specified.
3. Prices
The prices of our Products are in euros, excluding VAT. In the context of telephone orders, the prices quoted to you are those shown on the Site.
We charge sliding scale fees depending on the payment method and for a single order. Shipping costs are included and taken into account when calculating prices.
We reserve the right to change the prices of our Products at any time. The price applicable to your order is the price in effect at the time of validation, as indicated on the Site or communicated over the phone.
4. Payment
For orders placed directly on the Site, we accept the following payment methods:
– Advance bank transfer: if you choose this method of payment, the transfer must be made within 10 working days following the order, to the bank account whose details are shown on the invoice that will have been sent to you by e-mail. Failure to do so will result in full termination of the contract of sale and your order will be automatically cancelled. We inform you that your bank has the right to charge you fees for the bank transfer. In this case an extra discount of 5% will be applied
– Bank remittance on the usual commercial terms in use
5. Delivery
5.1. Delivery address
Products ordered on the Site, either directly or by phone, are shipped only within Italy, including the islands.
The Products will be delivered to the delivery address you provide when placing your order. The delivery address may be different from the billing address. You may change the shipping or billing information for your order under “My Account” unless the order status is “shipped”.
5.2. Delivery methods and deadlines
Standard delivery: in this mode, the average delivery time between placing the order and receiving the package is 8 or 20 working days, depending on the quantity ordered.
Please note that there are no deliveries on Saturdays, Sundays and holidays.
6. Conformity and quality of our Products
At the time of delivery, we strongly encourage you to conduct a full inspection of the Products received.
In the event of damaged, missing or non-conforming Products, you or the recipient of the Products shall:
§ immediately report clear, accurate and complete reservations on the shipping bill,
§ confirm such reservations with our carrier and our Customer Service Department no later than three days after the date of receipt of the Products, by registered letter with return receipt. Our carrier’s contact details can be found in the order follow-up e-mail.
In the absence of reservations duly expressed on the shipping bill and confirmed within three days at our carrier and our Customer Service, the Products will be deemed to be in conformity and their return or exchange will not be accepted.
Subject to compliance with the procedure described above, you may obtain a refund or replacement of any damaged, missing or nonconforming Products, to the exclusion of any compensation or damages.
7. Guarantees
By ordering Products on the Site, either directly or through our Customer Service Department, via telephone, you represent and warrant to us:
a. To possess the legal capacity to enter into a contract;
b. to order the Products solely for the purpose of your professional activity or that of the entity in whose name and on whose behalf you will enter into the contract;
8. Limitation of liability
We disclaim any liability in the event of failure or non-fulfillment of one or more of the obligations contained in the Conditions or required by applicable law:
§ to an unforeseeable and insurmountable fact of a third party;
§ to a case of force majeure.
We disclaim any liability for any inconvenience or damage related to the use of the telephone network or the Internet, such as service interruption, an external intrusion, or the presence of computer viruses.

Storage times
Billing data: 10 years (legal requirement)
Account data: up to deletion on request

10. Applicable law and place of jurisdiction
These General Conditions of Sale are governed by Italian law.
For any dispute relating to the validity, interpretation and execution of the Conditions and the sales contracts concluded between you and Alpes Srl, the Court of Sondrio shall have exclusive jurisdiction, with the express exclusion of any other competing forum.
